On the 16th May, 60 members attended an Extraordinary General Meeting at the Club at which the New Constitution was passed. The document has been lodged with the relevant Government Department and should be approved shortly.

Notice of Motion
The General Committee puts forward the following resolution for the consideration of members.
That the members consider, and if thought fit, pass the following resolution as a special resolution in terms of the Associations Incorporation Act 2015.
“The present Constitution be rescinded and replaced with the Constitution contained in the document attached and titled “Constitution – 2019″.” (Click here to view a full copy).
Explanatory Note
In 2017 the General Committee resolved that it was necessary to review the Constitution to simplify the language to make it easier for members to read and understand. The review extended to consider other changes which are more reflective of Members’ expectations in 2019 and provide greater clarity around important issues such as more flexible methods for voting. Mandatory changes required by the new Associations Incorporations Act were also incorporated in to the draft Constitution.
The process to date has included consultation with various members, subcommittees and the General Committee along with independent advice received from Clubs WA. A Members’ Information Night was also held at the Club recently.
The General Committee strongly and unanimously endorses the terms of the “Constitution – 2019”.

A memorandum has been provided with this notice which briefly explains those changes that are required by the Act and more that the General Committee considers desirable or necessary, and which are more reflective of Members’ expectations.(Click here to view a full copy).
Act Requirements
It is important to note that the changes required by the Act and incorporated in “Constitution – 2019” must be adopted by the Club and filed with the Department prior to or during June 2019.
Voting
Adoption of the “Constitution – 2019” requires a majority of 75% of the Members who are present at the meeting and enjoy voting rights to vote in favour of the resolution as a special resolution.
Should the resolution fail to be passed the existing Constitution will continue to operate however in relation to the matters relating to the Associations Incorporations Act where the Club’s Constitution is either silent or in direct conflict with the Act, the Act will take precedence and the Model Rules will apply.
For example, in relation to calling a General Meeting, the Model Rules state that 20% of eligible members would be required to call a General Meeting therefore this percentage would apply.
Members with voting rights are:
male ordinary members; male provisional ordinary members of more than three years standing; male senior ordinary members; male senior members [special category]; female ordinary members; female provisional ordinary members of more than three years standing; lady members; provisional lady members, lady north course members, and lady nine hole members, of more than three years standing; female senior ordinary members; female senior members [special category]; and senior lady members.
